By accessing pragmaquant.com or engaging any Pragma Quant service—including scheduling a consultation, submitting an onboarding inquiry, or making a payment—you confirm that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, please discontinue use of our website and services immediately.

Pragma Quant is an independent quantitative research, strategic advisory, and multi-asset wealth strategy platform. We serve financially sophisticated investors—primarily high-net-worth individuals, families, corporates, and institutions—through research-driven, rules-based portfolio solutions.

Pragma Quant operates as an independent research and advisory business. The information, analysis, and frameworks we provide are intended as educational and informational resources for sophisticated investors capable of independent decision-making. Pragma Quant does not hold any regulatory licence to provide investment advice and clients should seek independent regulated advice where required.

Pragma Quant offers two primary engagement structures:

Pragma Managed (Discretionary-Style Portfolio Strategy)

Pragma Quant provides systematic, rules-based portfolio strategy oversight including construction, monitoring, and rebalancing signals, within agreed parameters. All decisions follow documented, quantitative processes.

Pragma Signal (Non-Discretionary Research & Advisory)

Pragma Quant provides analytical infrastructure, quantitative research, model signals, and structured advisory communications. Full decision-making authority remains at all times with the client. All research and recommendations are documented and accountable.

Services may include, but are not limited to:

• Quantitative portfolio audits and structural diagnostics
• Custom investment framework and strategy design
• Regime-adaptive and drawdown-controlled portfolio strategy
• Volatility-scaled equity strategy frameworks
• Ongoing quarterly advisory reviews and risk alerts
• Structured investment research opinions for specific mandates
• Market regime research and periodic advisory reports

All services are subject to suitability review, onboarding approval, and minimum asset thresholds. Pragma Quant reserves the right to decline any engagement at its sole discretion.

Services are intended exclusively for financially sophisticated individuals, families, corporates, and institutions who:

• Hold investable assets of ₹10 Crore or more
• Demonstrate an investment horizon of 5–10 years or longer
• Meet Pragma Quant's internal onboarding and suitability standards
• Are legally permitted to engage independent research and advisory services under applicable law in their jurisdiction

Pragma Quant limits its active client base to preserve quality and depth of engagement. Eligibility determination rests solely with Pragma Quant.

Engagement fees are as follows:

• Pragma Managed: USD 1,999 per year
• Pragma Signal: USD 1,550 per year

All fees are exclusive of applicable taxes. Payments are processed securely via PayPal. Research and advisory fees are not linked to portfolio performance. The full fee structure and engagement terms are provided prior to any payment being made. Pragma Quant does not charge undisclosed fees.

Pragma Quant is not a licensed investment adviser, broker, or portfolio manager under any regulatory framework. The research, frameworks, models, and opinions we provide are for informational and educational purposes only and do not constitute regulated investment advice.

Clients are responsible for ensuring that engaging Pragma Quant's services is permissible under the laws applicable in their jurisdiction. Pragma Quant makes no representation that its services are appropriate or available in all locations.

All investing involves risk, including the possible loss of principal. Past performance of any strategy, model, or framework does not guarantee future results. No representation is made that any approach will achieve profits or avoid losses. Market conditions, regulatory changes, geopolitical events, and macroeconomic factors may materially affect outcomes.

Clients are responsible for:

• Providing accurate, complete, and current information during onboarding and throughout the engagement
• Communicating material changes to financial circumstances, objectives, or risk tolerance in a timely manner
• All applicable tax filings, regulatory disclosures, and compliance obligations in their own jurisdiction
• Final authorisation of all investment transactions, whether under discretionary or non-discretionary arrangements
• Independent consultation with qualified legal, tax, regulatory, and financial professionals on matters outside the scope of Pragma Quant's research and advisory services

Certain services may involve third-party brokers, custodians, data vendors, or execution platforms. Pragma Quant exercises reasonable care in selecting such partners but is not responsible for outages, delays, pricing errors, data inaccuracies, or any actions attributable to third-party providers. Clients should review the terms and conditions of any third-party platforms independently.

All reports, models, research notes, frameworks, branding, website content, and proprietary methodologies produced by Pragma Quant are the exclusive intellectual property of Pragma Quant. Clients are granted a limited, non-transferable licence to use such materials solely for their personal investment decision-making. No material may be copied, reproduced, redistributed, sublicensed, or commercially reused without prior written consent from Pragma Quant.

Pragma Quant treats all client information with strict confidentiality. Information will not be sold, rented, or shared with unaffiliated third parties for commercial purposes. Disclosure may occur only where required by applicable law, court order, fraud prevention obligations, or operational necessity with trusted service providers bound by equivalent confidentiality obligations.

To the maximum extent permitted by applicable law, Pragma Quant and its principals, employees, and affiliates shall not be liable for any indirect, consequential, incidental, special, punitive, tax-related, or opportunity losses arising from:

• Reliance on research, model outputs, or advisory communications
• Market volatility or portfolio drawdowns
• Third-party platform failures or data errors
• Delays in execution or communication
• Any investment decision made by the client in their sole discretion

In all cases, Pragma Quant's aggregate liability shall not exceed the total fees paid by the client in the twelve months preceding the event giving rise to the claim.

Pragma Quant may suspend or terminate a client engagement, without prior notice, in circumstances including:

• Material misrepresentation or omission during onboarding
• Non-compliance with engagement terms or applicable laws
• Abusive, disruptive, or threatening conduct
• Incomplete documentation or failure to meet eligibility criteria
• Concerns regarding fraud, financial crime, or reputational risk

Upon termination, fees remain payable for services rendered up to the termination date. Any refund eligibility will be assessed on a case-by-case basis.

Pragma Quant reserves the right to amend these Terms at any time. Updated Terms will be posted on pragmaquant.com with a revised effective date. Continued use of services following such updates constitutes acceptance of the revised Terms. Clients under active mandates will be notified of material changes.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or any engagement with Pragma Quant shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in Chandigarh, India.
